Terms of Service

IMPORTANT NOTICES: These Terms contain a binding arbitration agreement and class-action waiver (Section 20). Parents/guardians of minors: see Section 5. California residents: see Section 21 for your CCPA/CPRA privacy rights. Teachers: your use is also governed by the separate Educator Agreement (Section 12).


1. Definitions

  • Haddee / Company / We / Us / Our — Haddee Education, LLC, a California limited liability company, principal address 2006 Kala Bagai Way SPC10, Berkeley, CA 94704, operating the tutoring service at tutoring.haddee.com (the "Site").
  • Service(s) — the Site and all related features and tools that let Students find and book tutoring Sessions with Teachers, purchase and spend prepaid Hours, and message. These Terms apply only to this tutoring Service and not to any other Haddee Education, LLC product or website.
  • User / You / Your — any person who browses, registers for, or uses the Service.
  • Student — a User who books and attends tutoring Sessions. Students self-register.
  • Parent / Guardian — the parent or legal guardian of a Student who is a minor; the responsible party for that Student's account and charges (Section 5).
  • Teacher (shown in the Service as "Coach") — a User, who must be an adult, who provides tutoring. Teachers are admitted by invitation and are independent contractors governed additionally by the Educator Agreement (Section 12).
  • Admin — Haddee staff who operate the Service, including moderation, payments, and dispute resolution.
  • Class — a tutoring subject offered on the Service (e.g., "SAT Prep," "Tutoring"). A Class is a subject, not a multi-week course.
  • Session / Booking — a single confirmed scheduled tutoring meeting between a Student and a Teacher for a specific Class, length, and time.
  • Hours (Credits) — prepaid tutoring time for a specific Class, purchased in advance and spent to book Sessions of that Class (a 60-minute Session uses one Hour; Hours are spent in half-hour steps). Hours are not money and do not create a general cash-redemption right: they are usable only on the Service, subject to the limited discretionary, corrective, legally required, or payment-provider reversals described in Section 9. Hours never expire. "Hours" and "Credits" refer to the same thing and are used interchangeably in these Terms and in our purchase and receipt communications.
  • Package — a bundle of Hours across one or more Classes, composed and priced by Haddee and sold as a single purchase in the Service's store.
  • Trial — a single introductory 30-minute Session of a specific Class with a specific Teacher, sold at a flat price. A Trial is purchased for that Class-and-Teacher pairing at the time of purchase and is limited to one per Student per Class-and-Teacher pairing. A Session time is ordinarily selected before purchase and booked when the purchase completes; a Session time is not reserved until payment completes, and if the selected time becomes unavailable while the purchase is in progress the Trial remains purchased and may be booked for another time like any other Session.
  • Personal Data / Personal Information — information relating to an identified or identifiable person, as defined under applicable law (including CCPA/CPRA and GDPR).

2. Acceptance of Terms

Once these Terms have an effective date, a Student must select an explicit checkbox accepting the current Terms and acknowledging the current Privacy Policy at credentials signup or Google onboarding. A Teacher must explicitly accept the current Terms and Educator Agreement before onboarding can complete. The Service records the account, exact approved document version and content hash, and time. An existing account missing a current required version is redirected to the acceptance screen and protected actions are blocked until completion. If you do not agree, do not use the Service.

Teachers will additionally be required to accept the Educator Agreement, and Teachers who enable text alerts agree to the SMS Terms displayed at opt-in. Section 5 describes the current Parent/Guardian notice and purchase-authorization flow for a minor.

We may update these Terms at any time. We will post the revised Terms with a new effective date and, where required by law, provide additional notice. Your continued use of the Service after a change constitutes acceptance. If you do not agree to the changed Terms, stop using the Service.


3. Description of the Service

Haddee operates an online tutoring marketplace at tutoring.haddee.com that connects Students with Teachers for confirmed one-on-one Sessions. You may create an account, find Teachers, purchase Hours for the Classes you want, book and attend Sessions (held over a third-party video link such as Zoom or Google Meet), leave reviews, and message. A Teacher must have a valid Zoom or Google Meet link on their profile before the Service permits a new booking. The Student's Session view reads the Teacher's current profile link, so replacing that link updates the link shown for the Teacher's future Sessions; each affected Student also receives a dashboard-directed bell/email notice without the private meeting URL in the notice. Teachers are responsible for keeping the link valid and available and cannot save a profile that removes it.

You acknowledge and agree that: (1) Haddee provides the platform that facilitates these connections and is not the Teacher; (2) tutoring outcomes are not guaranteed; (3) Sessions occur over third-party meeting tools that Haddee does not control; and (4) Haddee does not record tutoring Sessions.

Haddee is not a party to the instructional relationship between a Student and a Teacher. However, Haddee operates the booking and payment system and will make binding determinations within that system — for example, deciding disputes over cancellations and reported no-shows, and the resulting return or forfeiture of Hours and Teacher pay — under the policies in Section 8. Haddee is not obligated to involve itself in disputes that fall outside these on-platform mechanisms.

You may sign in with Google or with an email address and password. The Service does not offer Facebook, X, or other social-network logins.


4. Account Registration and Security

To use most features you must register and provide true, accurate, current, and complete information. You are responsible for safeguarding your password and for all activity under your account. You agree to (a) notify us promptly at hello@haddee.com of any unauthorized use or security breach, and (b) not share your password or let anyone else use your account. A User has one role (Student, Teacher, or Admin); changing roles requires a new account.


5. Eligibility, Minors, and Parental Consent

IMPORTANT — COPPA and California minor protections. Read carefully.

  • Minimum age 13. You must be at least 13 years old to create a Student account. We collect your date of birth during registration or first-time Google onboarding to enforce this rule. Email/password registration rejects an under-13 submission before creating the account. Google sign-in can create a limited provisional authentication record before the age question is answered; when a user reports being under 13, the Service atomically clears the provisional identity and related OAuth/session/verification/profile data, marks the account deleted, and does not permit access to the tutoring Service. If that purge fails, the user remains blocked on a retry-only screen rather than entering the Service. If you believe we may hold information from a child under 13, contact hello@haddee.com.
  • Users aged 13–17 provide a Parent/Guardian contact. At sign-up, a minor must provide a Parent/Guardian name and a different email address. Haddee records that person as the responsible party and sends a one-time informational email saying the account was created. The email is notice only: it has no confirmation link, creates no guardian account, and does not record direct Parent/Guardian assent. A Parent/Guardian may object, ask questions, or request closure by contacting hello@haddee.com. The Student completes the ordinary Student Terms/Privacy acceptance screen.
  • Parent/Guardian purchase authorization. Where the Service is provided to a minor, the product treats the Parent/Guardian as the responsible purchaser. Before a minor can start a Stripe checkout for a Package, à-la-carte Hours, or a Trial, the Student must affirm that the Parent/Guardian authorized that specific purchase, agrees to these Terms, and is responsible for the charge. The server rejects the checkout without that affirmation and records the Student's affirmation with the purchase. This is the complete MVP guardian model; there is no direct guardian link or account. ****
  • Representation at the time of purchase. By completing a purchase of Hours, you represent that either (a) you are at least 18 (or the age of majority where you live) and able to form a binding contract, or (b) a Parent/Guardian authorized the purchase and is the responsible party for it. Parent/Guardian authorization is purchase-specific for a minor. Stripe checkout records the Student's affirmation; a paid off-platform purchase or paid Trial grant requires an authorized Admin to attest that authorization for the same purchase, and the server rejects the paid grant when age or authorization cannot be established. A non-purchase comp grant does not use this attestation.
  • Responsibility for account use. If you create an account, or you authorize or allow another person (including a minor) to use your account, you are responsible for that person's use of the Service, for controlling their access, and for all charges, activity, and consequences arising from that use.
  • Minor-oriented product protections. We do not use targeted advertising directed at minors. We minimize date-of-birth data: for a minor, the Service stores a derived "minor/adult" indicator plus birth month and year so the account can transition at age 18, but not the exact day; for an adult, it retains no birth date. ****
  • Teachers must be adults.
  • EU/UK minors (GDPR). Where applicable, a Parent/Guardian must consent for a minor below the age of digital consent in their jurisdiction.

If you are the Parent/Guardian identified for a minor, you may contact Haddee at any time about the account or request closure. The purchase screen records the Student's affirmation that you authorized each specific paid purchase and accepted responsibility for that charge; the Service does not collect a separate click or account action from you.


6. User Conduct and Content

You are solely responsible for content you submit ("User Contributions"). We may, but are not obligated to, review, remove, or edit User Contributions.

Your User Contributions must not: contain unlawful, libelous, obscene, harassing, hateful, or otherwise objectionable material; infringe any intellectual-property or privacy right; promote illegal activity; harass, abuse, threaten, or harm any person; contain malware; impersonate any person or misrepresent your affiliation; or include unauthorized commercial activity.

You must not use the Service to: break any law; collect others' personal information without authorization; spam, scrape, or crawl the Service; circumvent its security or authentication; or access non-public areas without permission.

No off-platform circumvention (important). You agree not to share personal contact information (phone numbers, email addresses, social handles, etc.) for the purpose of moving the relationship off the Service, and not to solicit, arrange, or make payment for tutoring outside the Service. Off-platform payments forfeit the protections of these Terms (including the cancellation, no-show, and Hours-return policies) and may result in suspension.

Messaging is monitored and retained. To keep the Service safe — especially for minors — Admins may review messages, and messages are retained. Do not use messaging for anything you would not want an Admin to read.


7. Reviews and Ratings

Students who have completed at least one Session with a Teacher may post a review (a star rating and text). Reviews are verified (only post-Session) and appear publicly on the Teacher's profile.

  • A review reflects the author's own opinion and experience, and is not endorsed by Haddee. To the extent permitted by law, Haddee is not responsible for User reviews.
  • We remove a review only for defined reasons: harassment; disclosure of personal/confidential information; off-topic content; unlawful content; verifiably false statements of fact about a Teacher; or profanity. We do not remove a review simply because it is negative or critical. Subjective opinions are not "false."
  • Teachers may not remove their own reviews; a Teacher may flag a review for Admin review, and an Admin decides using available records. By providing tutoring, Teachers consent to being reviewed (see also the Educator Agreement).

8. Bookings, Cancellations, No-Shows, and Dispute Decisions

Bookings are per-Session. The governing time is the start of the Session, in the Teacher's time zone.

  • Free cancellation at least 24 hours before a Session. A Student who cancels 24 hours or more before the Session has the Session's Hours returned to their account immediately.
  • Late cancellation (under 24 hours). The Hours are not automatically returned, except that a cancellation made within 1 hour of creating the booking is treated as an on-time cancellation and the Hours are returned in full, even when the Session starts in under 24 hours. Otherwise, the Student may cancel and forfeit the Hours — forfeited Hours are consumed and the Teacher is compensated for the reserved time — or, in a genuine emergency, contact Haddee at hello@haddee.com within 72 hours of the cancellation. Haddee reviews the request and the decision is binding — approve (the Hours are returned) or deny (the Hours remain consumed and the Teacher is compensated).
  • Teacher or Haddee cancellation. If a Teacher cancels a Session — or Haddee cancels it — the Session's Hours are returned to the Student's account, regardless of timing.
  • Teacher no-show. A Student must email hello@haddee.com within 72 hours after the Session if the Teacher did not attend. There is no in-app no-show claim, Teacher-response, or appeal workflow. Haddee reviews the available booking, communication, and payment records. If Haddee substantiates the report, an authorized Admin uses the manual clawback tool to return the Student's Hours and remove the Teacher's unpaid earning. If the Teacher was already paid, Haddee handles recovery outside the Service.
  • Student no-show. After a confirmed Session has ended, the Teacher may mark that the Student did not attend. This is an internal attendance/reliability record only; the mark does not itself return Hours, cancel the Session, or remove Teacher pay.
  • Binding Service determinations. Cancellation-emergency and Teacher-no-show concerns are raised through hello@haddee.com and resolved manually by Haddee. The decision determines the return or forfeiture of Hours and the resulting Teacher earning within the Service.

Reschedule is not a separate action — to move a Session, cancel and book a new time.


9. Payments, Hours, and Refund Policy

  • Payment processor. Card payments are processed by Stripe through a Stripe-hosted checkout. Haddee does not receive or store your full card number. In some cases Haddee may collect payment by other means and grant the corresponding Hours manually.
  • Payment method authorization. By providing a payment method, you represent that you are an authorized user of that payment method (for example, the cardholder, or someone the cardholder has authorized) and that you are 18 or older, or a Parent/Guardian acting on a minor's behalf (Section 5). You authorize Haddee and its payment processor to charge that payment method for the purchase and for any future purchases authorized on the account, and you are responsible for all charges made using that payment method on the account.
  • Prepaid Hours. You purchase Hours — prepaid tutoring time for a specific Class (Section 1) — in the Service's store, in three ways: as a Package, as individual ("à-la-carte") Hours of any offered Class in half-hour steps (available after your first Package purchase), or as a Trial. Hours are usable only on the Service and only for the Class they were purchased for. Booking a Session spends Hours, not money.
  • Hours are not money. Hours are not money and do not create a general cash-redemption right. Hours never expire — there is no "use by" date, and Hours you have purchased remain available until you spend them.
  • Purchases are ordinarily final. Haddee does not promise refunds, cash-outs, or conversion of unused Hours back into money. However, an authorized Admin can remove unused Hours from a specific purchase lot and record a corresponding refund completed outside the Service. Haddee may use that audited mechanism for a discretionary correction, settlement, legally required refund, or payment-provider reversal; its existence does not create a general right to a refund. Formal card disputes and chargebacks remain subject to Stripe and card-network processes. ****
  • Consumption and return of Hours. An Hour is consumed when the corresponding Session is delivered, or when it is forfeited on a late cancellation under Section 8. Cancellations are governed by Section 8: an on-time Student cancellation, or a cancellation by the Teacher or by Haddee, returns the Hours to your account; a late cancellation forfeits them unless Haddee grants an emergency review under Section 8.
  • Discretionary manual adjustments. The Service has no automatic Class-to-Class exchange feature. Haddee may, as a courtesy and not an obligation, remove unused Hours from one Class and grant Hours for another Class through separate audited Admin adjustments. Contact hello@haddee.com.
  • Account deletion. A Student account cannot be deleted while it has unspent Hours. Haddee must first review and resolve the balance through its documented Admin correction, transfer, discretionary-refund, or other appropriate process. The application does not silently forfeit or strand inaccessible value, and account closure does not create a general cash-redemption right.
  • Pricing, taxes, fees. Package, à-la-carte, and Trial prices are shown in the store before you buy, and the Hours cost of a Session is shown before you book; prices are set by Haddee. Amounts you pay are in USD. We do not add surcharges or processing fees to your payments.
  • Teacher pay is governed by the Educator Agreement (Section 12), not by these consumer payment terms.
  • Billing questions and chargebacks. Contact hello@haddee.com about a charge or payment concern. Haddee handles customer communication by email. A formal card dispute or chargeback is administered through Stripe's dispute process; the MVP does not provide an in-app chargeback case or evidence workflow.

10. Text Messages (SMS) and Email

  • SMS — Teachers only. Text alerts are available only to Teachers who opt in, and are governed by the separate SMS Terms (message frequency varies; message and data rates may apply; reply STOP to cancel, HELP for help). Students are never texted.
  • Email. The Service sends transactional emails that are part of the Service (for example: account verification, booking confirmations and cancellations, purchase confirmations (receipts), payout notices, and manually processed Hours-return notices). Some non-essential categories can be turned off in your settings; essential transactional emails cannot. Parents/Guardians of minors are sent a separate copy of purchase confirmations.

11. Privacy, Cookies, and Analytics

Our collection and use of Personal Data is described in our Privacy Policy for this tutoring Service. Key points:

  • Cookie consent. We show a cookie-consent banner to all users; non-essential analytics load only after you accept. You can decline.
  • Analytics. With your consent we use Google Analytics 4 (aggregate web analytics; IP anonymized) and Microsoft Clarity, which includes session replay and heatmaps of your interactions with our website (with sensitive on-screen content masked). We also use Sentry for operational error monitoring as a service needed to keep the Service secure and reliable. Its code configuration disables default personal-information forwarding and replay capture, but error events may still contain technical request, device, and failure context as described in the Privacy Policy.
  • We do not record tutoring Sessions (which take place on third-party video tools).
  • Do Not Track. Because we provide the cookie-consent control described above, that control — not a browser "Do Not Track" signal — governs non-essential analytics.


12. Educators (Teachers)

Teachers are admitted by invitation and individually reviewed by Haddee; Teachers do not self-register. Haddee intends Teachers to be independent contractors, not employees, under a separate Educator Agreement covering payouts, taxes, non-circumvention, SMS, reviews, and the representations in that agreement. U.S. tax forms are handled off-platform and tax identifiers are not stored in the tutoring application database. Once approved documents activate the gate, onboarding cannot complete until the Teacher explicitly accepts the current Terms and Educator Agreement; those exact versions/hashes are recorded atomically. No additional background-check checkbox is displayed unless counsel later requires separate approved language. Haddee sets Class prices and Teacher pay rates.


13. Intellectual Property

Haddee content. The Service and its content (other than User Content) are protected by intellectual-property rights. Except as expressly authorized, you may not copy, modify, distribute, scrape, or create derivative works from the Service. "Haddee" and its logos are marks of Haddee Education, LLC.

Your content — license. You retain your rights in content you submit ("User Content"). You grant Haddee a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display your User Content as needed to operate, improve, and promote the Service. For content submitted privately (e.g., messages), this license is limited to operating the Service. Profile photos and bios are reviewed before they appear publicly; uploaded images have location metadata stripped. You represent that you have the rights to your User Content.

Feedback. Suggestions you provide are non-confidential and may be used by Haddee without compensation.


14. Third-Party Services

The Service links to or relies on third parties (for example, video-meeting tools and the payment processor). Haddee does not control and is not responsible for third-party sites, tools, or services, and your dealings with them are solely between you and the third party.


15. Indemnity and Release

You agree to release, indemnify, and hold harmless Haddee and its affiliates, officers, employees, directors, and agents from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another.

California Civil Code §1542 waiver. If you are a California resident, you waive Civil Code §1542 ("A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release..."). Residents of other jurisdictions waive any comparable statute.


16. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." HADDEE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that tutoring will meet your expectations. To the extent required by applicable consumer-protection law, this Section does not exclude rights that cannot lawfully be excluded.


17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HADDEE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO THE SERVICE. IN NO EVENT WILL HADDEE'S TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID HADDEE IN THE LAST SIX (6) MONTHS OR (B) ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations; in those, our liability is limited to the greatest extent permitted by law.


18. Content Preservation and Disclosure

Haddee may preserve and disclose User Content if reasonably necessary to comply with law or legal process, enforce these Terms, respond to claims of third-party-rights violations, or protect the rights, property, or safety of Haddee, its users, or the public.


19. Termination

You may stop using the Service and request account deletion by emailing hello@haddee.com. There is no self-serve delete control; an authorized Admin processes the request. Preparation cancels future confirmed Sessions and returns their Hours, then creates a short-lived receipt bound to the target and Admin. Final deletion locks and rechecks the account and refuses to proceed with a stale receipt, a new future Session, unspent Student Hours, unsettled Teacher earnings, or missing external-dispute/provider attestations. An Admin must resolve and document any Student balance before preparing again; the Service does not silently forfeit or strand it. When the gates pass, deletion disables sign-in, severs active sessions and OAuth/verification records, removes the Student profile and Teacher schedule, clears direct account/contact/profile/meeting/payout identifiers, and schedules Teacher profile-photo deletion. A storage-provider failure is retained for operations retry. Haddee retains booking, purchase, credit, payout, review, message, selected notification-delivery, and audit records tied to an internal user id only while reasonably needed for accounting/tax, safety, fraud prevention, disputes/chargebacks, claims, enforcing agreements, and legal obligations. Those records are not treated as fully de-identified merely because direct identifiers were cleared; unusual required free-text redaction is handled manually, and the MVP has no universal fixed deletion timer. Delayed or replayed Stripe fulfillment cannot grant Hours to the deleted account. See the Privacy Policy for the current data handling and contact us with questions. A Parent/Guardian may request closure of a minor's account the same way.


20. Dispute Resolution by Binding Arbitration

PLEASE READ — THIS AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO A JURY TRIAL.

  • Agreement to arbitrate. Except as set out below, you and Haddee agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration, not in court and not on a class or representative basis. You and Haddee waive the right to a jury trial and to participate in a class action. This agreement is governed by the Federal Arbitration Act.
  • Exceptions. Either party may bring an individual action in small-claims court or seek injunctive relief for intellectual-property infringement in court.
  • Rules. Arbitration is administered by JAMS under its applicable rules, seated in Alameda County, California (or by phone/video for claims of $10,000 or less, at your election). The award is final and may be entered in any court of competent jurisdiction.
  • Fees. Haddee will pay JAMS filing, administrative, and arbitrator fees for any arbitration you initiate for claims of $75,000 or less; above that, JAMS fee rules apply. ****
  • Class-action waiver. Claims may be brought only individually; the arbitrator may award relief only in your individual favor.
  • California PAGA. Nothing here waives a non-waivable PAGA claim.
  • 30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hello@haddee.com with the subject "Arbitration Opt-Out." If you opt out, disputes are resolved in the courts in Section 23.

21. California Privacy Rights (CCPA/CPRA)

To the extent the CCPA applies to Haddee, this Section supplements the Privacy Policy for California residents. The Service collects categories including identifiers (name, email, Teacher phone, IP address, and account/provider identifiers); customer and commercial records (contact details, Sessions, Hours, purchases, and Stripe-processed payment records); internet/network activity (Site usage and, after analytics consent, website interactions/session replay with masking configured); approximate IP-based location; visual information limited to uploaded Teacher profile photos; and Teacher professional/profile information. The Service does not record tutoring Sessions.

If the CCPA applies to Haddee and to your request, California residents may have rights to know/access, delete, and correct personal information; to opt out of a "sale" or "sharing" for cross-context behavioral advertising; to limit certain uses of sensitive personal information; and to be free from discrimination for exercising those rights. Haddee does not sell personal information and the tutoring Service does not use personal information for cross-context behavioral advertising. To submit a request, contact hello@haddee.com or 2006 Kala Bagai Way SPC10, Berkeley, CA 94704. We will verify and respond as applicable law requires.

California §1789.3 notice. The Complaint Assistance Unit of the California Department of Consumer Affairs may be reached at 1625 N. Market Blvd., Suite N-112, Sacramento, CA 95834, or (916) 445-1254 / (800) 952-5210.

Shine the Light (§1798.83). California residents may request information about disclosures of personal information for third-party direct marketing once per year at hello@haddee.com.

Minors' eraser (Bus. & Prof. Code §22581). A California resident under 18 who is a registered user may request removal of content they posted by contacting hello@haddee.com.


22. EU/UK Users (GDPR)

The Service is operated from the United States and intended for U.S. users. If you access it from the EEA or UK, Haddee Education, LLC processes your personal data as a controller on the lawful bases of contract performance, consent (which you may withdraw), legitimate interests, and legal compliance. You may request access, correction, deletion, restriction, portability, and objection, and may withdraw consent or lodge a complaint with your supervisory authority. Contact hello@haddee.com. The arbitration and class-action-waiver provisions in Section 20 do not apply to EU/UK consumers, and nothing in these Terms limits non-waivable EU/UK consumer rights.


23. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except that Section 20 is governed by the Federal Arbitration Act. For disputes not subject to arbitration, you and Haddee submit to the exclusive jurisdiction of the state and federal courts in Alameda County, California. EU/UK consumers may also bring proceedings in their country of residence as required by law.


24. General Provisions

  • Entire agreement. These Terms, the Privacy Policy, and (for Teachers) the Educator Agreement and SMS Terms are the entire agreement between you and Haddee regarding the Service.
  • Non-disparagement. You agree not to make false or materially misleading disparaging statements about Haddee. Nothing here prevents truthful statements to a government or regulatory authority, or as protected by law — and nothing here limits your right to post honest reviews of Teachers under Section 7. ****
  • Statute of limitations. Any tort claim relating to the Service must be filed within one (1) year after it arose, except where a longer period is required by law.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • Waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
  • Electronic acceptance. Where the Service presents an explicit agreement checkbox, selecting it and submitting the form is an electronic action. The versioned mechanism described in Section 2 is implemented but remains inactive while the documents are drafts.
  • Notices. We may notify you by email or by posting on the Service.

USER ACKNOWLEDGMENT

Once these Terms become effective, the applicable acceptance screen identifies the documents being accepted and records their exact approved versions/hashes. The current draft does not activate that screen and must not be treated as a recorded acceptance or electronic signature.
